Terms of Engagement

These terms govern access to the Northcourt Studio website and the working relationship between Northcourt Studio (“Northcourt,” “we,” “our,” or “us”) and the clients we engage with.

By using this website, submitting payment, or beginning a project with Northcourt Studio, you acknowledge and accept these terms.

Scope of work

Each engagement begins with a written proposal outlining the agreed scope, deliverables, timeline, and project investment.

Requests outside the approved scope may require additional fees and scheduling adjustments. Any expanded scope will be confirmed in writing before additional work begins.

Client responsibilities

Clients are responsible for providing required content, approvals, assets, feedback, and communication in a timely manner.

Delays in communication, approvals, or required materials may impact timelines, scheduling, and delivery dates.

Intellectual property

Upon full payment, final approved website deliverables created specifically for the engagement transfer to the client.

Northcourt Studio retains ownership of:

  • internal systems,
  • development frameworks,
  • unused concepts,
  • proposal materials,
  • workflows,
  • tooling,
  • and underlying methodologies used during production.

Revisions

Projects include the revision scope outlined within the selected package or proposal.

Additional revisions, structural changes, or requests outside the agreed scope may require additional fees.

Confidentiality

Materials and information shared during a project are treated as confidential and used solely for project-related purposes.

Northcourt Studio may reference completed work within portfolio or presentation materials unless otherwise agreed in writing.

Payments

Project scheduling and production capacity are reserved upon payment.

Unless otherwise stated, payments are non-refundable once onboarding, design direction, research, or development work has commenced.

Late payments may result in paused work, delayed delivery, or suspension of project access until outstanding balances are resolved.

Projects may incorporate third-party tools, platforms, hosting providers, plugins, AI systems, analytics services, or integrations.

Northcourt Studio is not responsible for outages, policy changes, security incidents, pricing changes, or operational issues related to third-party providers.

Governing law

These terms are governed by the applicable laws of the jurisdiction in which Northcourt Studio principally operates, without regard to conflict-of-law principles.
